The shareholder's waiver of their dividend may be necessary for various economic and tax-related reasons. The law does not contain any provisions regarding the permissibility and implementation of a dividend waiver. The few opinions in the literature are controversial; there is no case law on this topic. The work presents several legal design options for a dividend waiver and, more broadly, for a specific disproportionate profit distribution, and discusses the associated tax implications.
