In this work, the author examines the question of whether it is still justifiable to maintain the dualism of corporate law associations and the distinction between traditional legal entities and partnerships with legal capacity in view of the development of corporate law over the last 100 years. He goes into more detail on the development of the theories of the legal person and the Gesamthand. The arguments put forward so far for and against maintaining the distinction are critically analysed in detail. The author comes to the conclusion that, contrary to the previous assumption, all legally capable associations under company law are to be declared legal persons.
