About the work: This work comments on an English-language loan agreement for acquisition financing (Leveraged Buy-outs, LBO) based on the standard template contract of the Loan Market Association (LMA), taking into account the peculiarities of German law. Starting from the LMA template contract, a version of the loan agreement adapted for German law is presented, and the content of the individual contractual provisions as well as the legal foundations are explained in German. The LMA template contract is the only standard contract for English-language acquisition financing in Germany and is used by all banks involved in acquisition financing in Germany as a starting point for drafting LBO loan agreements. A commentary on the individual contractual provisions facilitates understanding for the parties involved in an acquisition financing.
