About the work: Corporate acquisitions by financial investors are largely financed with debt. Banks and other capital providers typically offer this debt in the form of syndicated loans. The documentation for acquisition financing, also known as leveraged buyouts or LBOs, follows an international standard that has particularly developed in the financial centers of New York and London. German borrowers and banks often prefer such contracts to be governed by German law. This raises a multitude of legal issues. The establishment of so-called upstream collateral and guarantees for the liabilities of the shareholder is particularly complex.
