With the introduction of the German Corporate Governance Code (DCGK) in 2002, the requirements for supervisory board members have been significantly increased. The legislator has also raised the bar for good corporate governance with the Act on Control and Transparency in the Corporate Sector (KonTraG), the Act on Transparency and Publicity (TransPubG), and the Act on the Modernization of Accounting Law (BilMoG). This results in a considerable potential for conflict regarding employee co-determination, particularly in relation to the qualifications, communication, and independence of employee representatives on the supervisory board. The work thoroughly addresses these areas of conflict in the public limited company and in the German Societas Europaea, following a procedural understanding of the company's interests.
