About the Work This new handbook addresses for the first time the side agreements to the partnership agreement in a comprehensive manner, meaning non-statutory agreements between (all or individual) partners. Partnership agreements typically contain the actual provisions that are intended to govern the relationship between the partners and the company. They are referred to as participation agreements, side letters, voting commitment agreements, protection community agreements, pool or consortium agreements, partnership agreements, etc. In practice, they are very popular for confidentiality reasons, especially since they are not subject to formal requirements and do not fall under the publication of the articles of association. In the case of partnerships, it is regularly necessary to clarify whether a partnership agreement concluded by all partners has amended the partnership agreement, as this is significant for the partnership.
