Despite the economic significance of the limited partnership, the literary treatment of this form of organization is surprisingly sparse. In the GmbH & Co. KG as a limited partnership, the limited partnership holds all the shares of its GmbH general partner. The limited partners are co-owners of the GmbH without being shareholders of the GmbH themselves. This often sensible connection between the shares of the GmbH and the limited contributions is achieved. The structure brings about some peculiarities in capital raising and capital maintenance, as well as in accounting, and in practice, particularly the decision-making process poses challenges. Formally, the management of the GmbH is responsible for exercising the voting rights of the limited partnership in the GmbH; however, conflicts of competence between management and limited partners do not arise. In the internal relationship of the limited partnership, the limited partners decide solely on the exercise of voting rights against the GmbH, excluding the GmbH itself. When making decisions in the shareholders' meeting of the GmbH, the limited partners can instruct the management accordingly to exercise the voting rights or exercise the voting rights of the limited partnership themselves as their representatives.
