The transfer of a business or a part of a business to another legal entity is regularly associated in practice with restructuring measures, which may also result in job losses. The topic of business transfer is a constant issue in consulting practice, especially in light of the restructuring of companies in the German economy and the increasingly significant service sector. The provision of Section 613a of the German Civil Code (BGB) is an extremely complicated norm due to its European legal foundations and the multitude of scenarios it encompasses, with its (open) factual circumstances subject to constant reinterpretation. The development of business transfer law shows no signs of ending. Hardly any other labor law norm raises as many legal and demarcation questions.
