This work, initiated by Schwedhelm and now co-authored by Schwedhelm/Stenert, is a practical guide par excellence. It impresses repeatedly with its brilliant structure. For any conceivable transformation of a company—referenced in the legal form ABC—all legal prerequisites and legal consequences are presented. This encompasses more than 300 transformation cases in total. Equally brilliant: corporate and tax law are not presented separately but are integrated in each transformation case. A consultant cannot access relevant information more clearly and quickly. Without any detours, they learn whether and how the company can now become a company of the future. And that is a good thing: because transformation law and transformation tax law do not exactly pamper consultants with user-friendly legal tools, and gaining a quick overview would be difficult without this standard work. The 11th edition is particularly indispensable, as there will be a new transformation tax decree starting in early 2025, which is woven throughout the entire work. Additionally, there are legislative changes such as the Annual Tax Act 2024, the Growth Opportunities Act, and initial experiences with the MoPeG.
