This paper clarifies that from a corporate law perspective, a statutory anchoring of corporate audits before a company acquisition by corporations in the form of due diligence is absolutely necessary to eliminate the prevailing uncertainty in business practice and simultaneously establish clear and uniform rules for the intensity of audits. The focus of the paper is on legal due diligence in corporate transactions from the perspective of the acquirer of corporations, as this represents the most important and comprehensive type of corporate audit. Furthermore, these corporate forms are predominant in today's business practice. Through practical examples, it is demonstrated that forgoing the audit is problematic both legally and economically.
