Increasingly, for financial reasons, there is a stronger trend towards the formation of mixed-capital corporations, in which both public entities and private shareholders are involved. While the primary goal of public entities in such companies is not profit generation but the fulfillment of public duties, private shareholders seek an attractive return, which requires the realization of high profits. The author addresses the question of how investors participating in the official stock exchange trading of such a company are protected from the risks inherent in this fundamental conflict of interest. Initially, the conflicting constitutional requirements are examined, particularly the constitutional basis for investor protection. Following this, the corporate legal situation is analyzed in detail.
