In Germany, the phenomenon of spectacular hostile takeovers only entered the public consciousness in the early 1990s. The trigger was the takeover of Mannesmann by Vodafone Airtouch. Since then, the boards of German companies have faced the challenge of preventing hostile takeovers or taking measures in advance to make a takeover of their own company unattractive. Company management is thus tasked with selecting, coordinating, and implementing appropriate defensive measures, which is not always easy, as these measures often have negative economic consequences for the company itself. Additionally, one cannot rely on the tried-and-true methods from the Anglo-American legal system on the legal battlefield, as these often violate existing laws in Germany.
