The term Due Diligence originates from Anglo-American law, particularly in capital market-oriented regulations. The primary intention of Due Diligence was and is to compensate for the lack of warranty rights in US law. Due Diligence in this sense aims to prevent the principle of "caveat emptor," under which the buyer assumes the risk of defects upon acquiring an object. The goal is to minimize this risk through a prior examination of the potentially acquired asset. In practice, the question is usually not whether Due Diligence will be conducted, but rather how extensive it will be. Furthermore, the maxim holds that each contractual partner must verify the advantages of a transaction before the contract is concluded.
