The Federal Court of Justice has laid the foundation for a new liability concept in GmbH law with its landmark decision 'Bremer Vulkan': liability for existence-destroying interventions. This work initially aims to examine the doctrinal derivation of the liability institution developed in subsequent supreme court decisions for its defensibility. However, the main focus of the work is on describing the relevant liability requirements. Based on this, the pertinent case groups of existence-destroying liability are elaborated.
