The liability privilege of German corporations has traditionally been intertwined with specific capital raising and maintenance regulations. However, in recent years, capital maintenance, which determines the amount available for distribution, has come under pressure both from a balance sheet and corporate law perspective. As a result, a potential liquidity-oriented solvency test is increasingly becoming the focus of discussion. Alexandra Scholz examines to what extent the distribution regimes of Germany, England, and the USA prevent opportunistic distributions that harm creditors. From the findings, the author derives design recommendations for a liquidity-oriented solvency test and discusses accompanying instruments. In a laboratory experiment, she explores whether the solvency test and an accompanying liability instrument in the form of a profession.
