It is common practice for public clients to compile construction contracts from a variety of pre-formulated regulations (e.g., general terms and conditions, special terms and conditions, additional terms and conditions, additional technical terms and conditions, technical preambles). The VOB/B, which remains the central regulatory framework for construction contracts, also consists of pre-formulated provisions and thus constitutes general terms and conditions. The validity of all these provisions is governed by the AGB law now integrated into the BGB (Sections 305 to 320 BGB). The significance of these sections for construction contracts cannot be overstated. This is evidenced by the almost overwhelming number of decisions in which courts determine the validity or invalidity in specific individual cases and increasingly in class action proceedings.
