Product details

The study deals with the administrative voting right introduced in 2001 in Section 134 (3) of the German Stock Corporation Act, which allows the company to offer shareholders the representation of voting rights at the general meeting through company-appointed representatives. The new representation procedure has been deliberately modeled after the American system of proxy voting. However, upon closer examination, the current German model has not much in common with the proxy system there. In addition to evaluating the current legal situation and practice of voting rights representation in Germany and a critical analysis of the administrative voting right, this work addresses questions regarding the transferability of the US proxy system as well as discussing further possible steps to improve voting rights representation.
