One of the notable development trends in democratic societies is that decisions are increasingly delegated to committees, commissions, and other bodies. Decision-making by these bodies typically requires the establishment of a voting rule. However, this alone cannot be considered a sufficient indicator of a democratic mindset. Against this backdrop, various voting rules are examined for their actual proximity to democracy. The insights gained from this formal analysis later inform considerations regarding the freedom to choose voting rules in corporate elections. To ultimately answer this question, an additional evaluation of the voting rules is conducted in light of corporate law criteria for assessing voting procedures.
