The work examines the extent to which provisions in a business purchase agreement are suitable for establishing claims of employees through a contract for the benefit of third parties. While this can generally be affirmed as unproblematic for a variety of cases, such as the exclusion of operational dismissals, a location guarantee, and similar issues, numerous problems arise regarding collective bargaining assurances or references, which have hardly been addressed in the literature so far. Based on this, the study explores, among other things, how a collective bargaining reference in a business purchase agreement should be interpreted and whether the intended contract for the benefit of third parties does not become a contract to the detriment of third parties.
