In the formation of companies, the founding regulations determine the minimum requirements to be observed, liability risks, and remaining flexibility for available designs. The author examines the subsidiary application of the form-specific founding regulations mandated by the Transformation Act in mergers, divisions, and changes of form. The integration of the founding regulations into the respective transformation process leads to certain peculiarities. Unlike regular formations, for example, founders and later shareholders do not necessarily have to be identical. The author concludes that certain founding regulations need to be modified depending on the specific transformation process to continue fulfilling their function.
