The book examines the prerequisites and possibilities for limiting the liability of board members of a stock corporation. If the company is held liable due to an alleged management error or if a fine is imposed on it, the supervisory board members are generally obligated to enforce existing recourse claims against the board members according to § 93 Abs. 2 Sentence 1 of the German Stock Corporation Act (AktG). The existing liability risks can only be limited to a certain extent according to stock corporation law. Additionally, a D&O insurance does not provide protection in every case against the financial burden on board members. According to the author, there are therefore good reasons for limiting liability in individual cases from a duty of care perspective.
