The pledge of GmbH shares is an important financing instrument in practice. The contractual design of the share pledge has posed challenges, particularly given that the legal scope of the pledge right and the legal status of the parties involved have not been clearly defined in legal doctrine. Therefore, the subject of this work is to establish uniform guidelines for the assessment of share pledges, aligned with the relevant legal materials. The cornerstones of the study include investigations into the scope of the share pledge right and possible special forms, as well as the legal status of the parties involved; on the other hand, it examines the contractual regulation options related to this and the risks of extensive contractual designs. The investigation of the realization of the pledge right primarily addresses the previously neglected question of what influence options are available to co-shareholders in the event of a threatened realization of the share.
