The drag-along right is a legal concept originating from the United States that allows shareholders to be compelled to transfer their business shares to a third party upon request. In addition to its original application in equity financing, it is now also used in family-owned and medium-sized enterprises to regulate business succession and employee participation. This work examines the compatibility of such co-sale obligations with German law in their respective application cases and highlights the limits of their content and exercise. For practical contract design, the work includes design proposals and a review scheme that can be used to draft a suitable drag-along clause for individual cases.
