Starting with a general overview of US tax law regarding financing, the work focuses on the tax distinction between equity and debt in hybrid financing instruments in the United States. Additionally, a detailed analysis of the tax consequences is provided based on instruments identified in the US, such as DECS, MIPS, PHONES, and PRIDES. Finally, the question of cross-border tax planning opportunities is addressed, which could potentially avoid double taxation or even lead to double non-taxation.
