Product details
Based on the hypothesis of insufficient management oversight by shareholders in large corporations, this work examines situations where the self-interests of board members conflict with the interests of the company that need to be upheld. The mechanisms developed by the U.S. and German legal systems to counteract such conflicts of interest are analyzed. These mechanisms are summarized and compared based on their function and effectiveness.
