This work examines the configurability of management structures in the European Private Company (Societas Privata Europaea - SPE). The proposals for the SPE regulation available until 2012 are autonomously analyzed regarding mandatory and dispositive provisions. In particular, a comparative legal analysis is presented to determine whether instructions or consent reservations in favor of shareholders are already possible under the SPE regulation or can be established through statutory provisions. The author outlines the regulatory options available for strong shareholders, the freedoms that can be granted to the management body, and whether the establishment of an advisory board is feasible. The focus is particularly on the monistically structured SPE.
