What legal requirements must be met for post-contractual non-compete clauses with managing directors and shareholders? Based on the telos, the author advocates for a partial analogy to the company-protecting and neutrality-protecting regulatory contents of Sections 74 et seq. of the German Commercial Code (HGB), regardless of the group of individuals involved. For purely employee-protective regulatory contents, criteria are established to determine a comparable interest situation, and an analogy for certain executive members is affirmed. Finally, the author supports the possibility of content control under general terms and conditions law for post-contractual non-compete clauses and a control competition between Section 307 (1) of the German Civil Code (BGB), Section 74a (1) HGB, and Section 138 BGB.
