The work addresses the previously underexplored topic of the leadership of the shareholders' meeting in partnership law. It provides a comprehensive overview of the person of the meeting leader, the possibilities for their appointment and removal, the permissibility of majority decisions, the intervention of voting prohibitions, and the establishment of a special right. It highlights the competencies of the meeting leader, particularly the determination of resolutions within the framework of the partnership law resolution defect system. Furthermore, it discusses the position of the meeting leader, the final decision-making authority of the shareholders, as well as liability and legal protection issues related to management errors concerning both the company and the shareholders.
