The German Corporate Governance Code (DCGK) is a set of rules developed by a government commission, offering recommendations and suggestions for publicly listed companies aimed at achieving good corporate governance, which encompasses the principles of effective management and control of large enterprises. The document is directed at decision-makers and corporate governance officers within companies and provides a comprehensive and practical commentary on the code based on relevant case law. All authors are recognized and experienced experts in the fields of corporate law and corporate governance. The current recommendations and suggestions of the DCGK, including the amendments to the code from May 2015, are presented clearly and concisely, and connections to stock, capital market, and European law are highlighted. Current developments and best practice examples are also addressed.
