Product details

The intention of this work is to provide the reader with an in-depth insight into the squeeze-out of minority shareholders according to the GesAusG. In addition to examining the exclusion procedure, this work also offers an overview of the historical development of the law, assesses its constitutionality, and addresses the reasons that led to the creation of the GesAusG. Furthermore, the specific requirements that a majority shareholder must meet in order to exercise this right of exclusion are discussed. Additionally, this description addresses the a-priori protection mechanisms established for the benefit of the minority, which are intended to ensure that the exiting shareholders receive appropriate compensation for their shares. The focus of the work is on the subsequent judicial proceedings.
